These Terms of Service govern your use of aceredrives.com, purchases made through the website, and communications with Ace Redrives USA.

Ace Redrives USA is operated by Av8r Capital Group Corp and serves as the authorized U.S. and Canada distributor for Ace Aviation redrive products.

By accessing this website, creating an account, placing an order, requesting information, submitting a form, or purchasing products from Ace Redrives USA, you agree to these Terms of Service, our Legal Notice, Shipping Policy, Return Policy, Privacy Policy, and any other policies or written terms referenced on this website.

If you do not agree to these terms, do not use this website or purchase products from Ace Redrives USA.

1. Company Identity

For purposes of these Terms, “Ace Redrives USA,” “we,” “us,” and “our” refer to Av8r Capital Group Corp doing business as Ace Redrives USA.

Ace Redrives USA provides North American distribution, sales, product information, customer support, fitment guidance, and related services for Ace Aviation redrives and related products.

2. Website Use

You may use this website only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the website for fraudulent, unlawful, abusive, or misleading purposes

• Submit false, incomplete, or inaccurate information

• Interfere with the operation, security, or performance of the website

• Attempt unauthorized access to any system, account, server, or data

Ace Redrives USA reserves the right to restrict access, cancel orders, refuse service, or take appropriate action if misuse is suspected.

3. Eligibility to Purchase

By placing an order, you represent that:

• You have the legal authority to enter into a binding purchase agreement

• The information you provide is accurate and complete

• You are purchasing for lawful purposes

• You are responsible for determining whether the product is legal and appropriate for your intended use

We reserve the right to refuse or cancel any order where eligibility, legality, safety, payment, export, fraud, or compatibility concerns exist.

4. Experimental Aircraft and Non-Certified Use

Products sold by Ace Redrives USA are intended for experimental, amateur-built, ultralight, light aircraft, prototype, research, educational, non-certified aviation, and/or off-road applications, unless expressly stated otherwise in writing.

Products sold by Ace Redrives USA are not FAA type-certified aircraft parts, certified aircraft engines, certified propeller systems, or approved replacement parts for standard category aircraft.

The customer is solely responsible for determining whether any product is suitable, safe, legal, and appropriate for a specific aircraft, engine, propeller, project, installation, and operating environment.

No product listing, website statement, compatibility note, email, invoice, photograph, video, or technical discussion should be interpreted as FAA approval, airworthiness approval, engineering certification, or legal authorization to install or operate a product on any aircraft.

5. Customer Responsibility

Aircraft building, engine conversion, redrive installation, propeller selection, testing, inspection, and operation require skill, judgment, and caution.

The customer, builder, installer, mechanic, owner, operator, and pilot in command are responsible for:

• Verifying engine compatibility

• Verifying crankshaft size, condition, length, and configuration

• Verifying mounting provisions

• Selecting the correct redrive, ratio, belt type, and propeller

• Ensuring proper alignment, belt tension, torque, fasteners, safetying, and inspection

• Ensuring adequate cooling, fuel flow, exhaust routing, vibration control, and structural support

• Complying with all applicable laws, regulations, operating limitations, and aircraft requirements

• Conducting appropriate ground testing, flight testing, inspections, maintenance, and continued monitoring

• Consulting qualified professionals when needed

Ace Redrives USA may provide general guidance, but final responsibility remains with the customer and operator.

6. Product Information

We work to provide accurate product descriptions, prices, specifications, availability, photographs, lead times, and compatibility information.

However, website content may contain errors, omissions, outdated information, or changes. Ace Redrives USA reserves the right to correct, update, revise, remove, or replace content at any time without prior notice.

Specifications, prices, product designs, included parts, materials, finishes, packaging, availability, and lead times may change without notice.

Photographs may show prototypes, prior versions, optional components, customer installations, or parts that are not included with the current product.

7. Compatibility and Fitment

Compatibility information is provided for general reference only. Engines, aircraft, propellers, and installation conditions can vary significantly.

A product listed as compatible with an engine family may still require customer-supplied parts, additional hardware, bushings, spacers, fabrication, machining, fitting, inspection, or installer judgment.

Customers are responsible for confirming fitment before purchase and before installation.

Ace Redrives USA may ask for engine model, crankshaft size, aircraft type, intended use, propeller details, photographs, or measurements before fulfilling an order. Failure to provide requested information may delay or prevent fulfillment.

8. Customer-Supplied Information

When you submit product questions, fitment forms, order details, measurements, aircraft information, engine information, photographs, or other materials, you represent that the information is accurate, complete, and lawful for you to provide.

Ace Redrives USA is not responsible for product selection, fitment issues, installation problems, delays, damage, or losses caused by inaccurate, incomplete, outdated, or misleading information supplied by the customer.

9. Orders

Submitting an order does not guarantee acceptance.

Ace Redrives USA may refuse, cancel, delay, or limit any order for any reason, including but not limited to:

• Product unavailability

• Pricing or listing error

• Shipping calculation error

• Payment issue

• Suspected fraud

• Export or import concern

• Safety concern

• Technical incompatibility

• Incomplete customer information

• Failure to complete required agreements

• Failure to provide requested fitment details

• Prior misuse, chargebacks, or policy violations

If an order is canceled after payment has been received, Ace Redrives USA will issue an appropriate refund according to the applicable order terms and payment method.

10. Pricing and Payment

All prices are listed in U.S. dollars unless otherwise stated.

Prices may change at any time without notice. Taxes, shipping, duties, tariffs, brokerage fees, customs charges, payment-processing fees, and other charges may be added where applicable.

Ace Redrives USA may accept credit card, debit card, ACH, wire transfer, or other approved payment methods. Available payment methods may change at any time.

Payment must be received and cleared before shipment unless expressly agreed otherwise in writing.

Ace Redrives USA is not responsible for bank fees, currency conversion fees, card issuer fees, wire fees, chargeback fees, or payment delays caused by third parties.

11. Preorders, Backorders, and Batch Production

Some products may be sold as preorders, backorders, special orders, production-batch orders, or made-to-order items.

Estimated production or shipping dates are estimates only and are not guaranteed.

Preorders reserve a place in the production or fulfillment queue but do not guarantee a specific delivery date. Delays may occur due to supplier schedules, production changes, customs, shipping, quality control, demand, or circumstances outside our control.

Cancellation eligibility for preorder, backorder, special-order, or custom items may be limited. Review the applicable product page, invoice, and order terms before purchasing.

12. Shipping and Delivery

Shipping is governed by our Shipping Policy.

Delivery dates are estimates only. Ace Redrives USA is not responsible for carrier delays, customs delays, weather delays, failed delivery attempts, incorrect addresses, border delays, labor disruptions, government actions, or events outside our control.

Risk of loss may pass to the customer when the product is delivered to the carrier, unless otherwise required by law or expressly agreed in writing.

Customers are responsible for inspecting shipments promptly and reporting damage, missing items, or incorrect items according to the Shipping Policy.

13. International Orders, Duties, and Taxes

Customers outside the United States are responsible for confirming that products may be legally imported and used in their country.

Unless expressly stated in writing, customers are responsible for all applicable duties, tariffs, customs charges, import taxes, brokerage fees, carrier collection fees, and government-imposed fees.

Ace Redrives USA is not responsible for delays, seizures, returns, abandoned shipments, unpaid import fees, or regulatory issues caused by customs or import authorities.

14. Returns, Cancellations, and Refunds

Returns, cancellations, and refunds are governed by the applicable Return Policy and any written order terms.

Installed, used, modified, damaged, incomplete, special-order, custom, preorder, or batch-production items may not be eligible for return or refund.

Do not return any product without prior authorization from Ace Redrives USA. Unauthorized returns may be refused.

Refunds, if approved, may be reduced by shipping costs, payment-processing fees, restocking fees, missing parts, damage, customs fees, carrier fees, or other costs incurred.

15. Warranty

Any warranty offered by Ace Redrives USA applies only as expressly stated in writing.

Unless expressly stated in a written warranty, Ace Redrives USA does not warrant that any product is suitable for a particular aircraft, engine, propeller, installation, operating condition, regulatory purpose, or performance target.

To the fullest extent permitted by law, Ace Redrives USA disclaims all implied warranties, including implied warranties of merchantability and fitness for a particular purpose.

Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to you.

16. No Performance Guarantee

Ace Redrives USA does not guarantee any particular performance result, including but not limited to:

• Aircraft speed

• Takeoff distance

• Climb rate

• Fuel burn

• Thrust output

• Propeller RPM

• Engine RPM

• Horsepower output

• Cooling performance

• Vibration level

• Reliability

• Service life

• Suitability for a specific aircraft

Performance depends on many factors outside our control, including aircraft design, weight, propeller choice, engine condition, installation quality, operating environment, maintenance, and pilot technique.

17. Assumption of Risk

The customer acknowledges that aviation, experimental aircraft, ultralight aircraft, engine conversions, propeller systems, redrive installations, testing, maintenance, and flight operations involve inherent risks, including property damage, serious injury, and death.

By purchasing, installing, testing, modifying, operating, maintaining, reselling, or using products sold by Ace Redrives USA, the customer knowingly and voluntarily assumes all risks associated with such activities.

The customer agrees that products sold by Ace Redrives USA must be used with caution, proper inspection, conservative testing, and appropriate expertise.

18. Indemnification

To the fullest extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Ace Redrives USA, Av8r Capital Group Corp, Ace Aviation, and their respective owners, officers, directors, employees, contractors, suppliers, distributors, affiliates, agents, representatives, successors, and assigns from and against any and all claims, demands, actions, causes of action, lawsuits, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorney fees and litigation costs, arising out of or related to:

• The customer’s selection, purchase, installation, modification, testing, operation, maintenance, inspection, resale, or use of any product

• Any aircraft, engine, propeller, mount, redrive, belt system, fuel system, exhaust system, cooling system, electrical system, or related installation involving the product

• Any failure to properly install, align, tension, inspect, maintain, test, or operate the product

• Any use of the product outside its intended purpose, published limitations, recommendations, or applicable instructions

• Any unauthorized modification, alteration, repair, substitution, machining, or adaptation of the product

• Any incorrect, incomplete, or inaccurate information supplied by the customer

• Any violation of FAA, Transport Canada, local, state, provincial, national, or international laws, regulations, operating limitations, or airworthiness requirements

• Any claim brought by a passenger, pilot, owner, mechanic, installer, purchaser, subsequent purchaser, bystander, property owner, insurer, government agency, estate, heir, or other third party arising from the customer’s aircraft, installation, operation, or use of the product

This obligation applies whether the claim is based on contract, tort, negligence, strict liability, product liability, warranty, statute, regulation, or any other legal theory, except to the extent such indemnification is prohibited by applicable law.

The customer’s indemnification obligation survives purchase, delivery, installation, resale, transfer, operation, product failure, account termination, and completion or cancellation of a transaction.

19. Limitation of Liability

To the fullest extent permitted by law, Ace Redrives USA, Av8r Capital Group Corp, Ace Aviation, and their respective owners, officers, directors, employees, contractors, suppliers, distributors, affiliates, agents, representatives, successors, and assigns shall not be liable for indirect, incidental, special, consequential, punitive, exemplary, or economic damages arising from or related to website use, product purchase, product delay, product installation, product failure, product use, product misuse, or inability to use any product.

This includes, but is not limited to:

• Aircraft damage

• Engine damage

• Propeller damage

• Personal injury

• Death

• Property damage

• Loss of use

• Loss of revenue

• Loss of profits

• Labor costs

• Hangar costs

• Inspection costs

• Travel costs

• Replacement costs

• Downtime

• Third-party claims

Where liability cannot be fully excluded by law, Ace Redrives USA’s total liability shall be limited to the amount actually paid to Ace Redrives USA for the specific product giving rise to the claim.

20. Release

To the fullest extent permitted by law, the customer releases Ace Redrives USA, Av8r Capital Group Corp, Ace Aviation, and their respective owners, officers, directors, employees, contractors, suppliers, distributors, affiliates, agents, representatives, successors, and assigns from claims, damages, losses, liabilities, costs, or expenses arising from the customer’s installation, testing, operation, maintenance, modification, resale, or use of any product, except to the extent such release is prohibited by applicable law.

21. Product Modification

Unauthorized modification, machining, alteration, repair, substitution, or adaptation of any product may create unsafe conditions and may void warranty or support eligibility.

Customers should contact Ace Redrives USA before modifying any product.

Ace Redrives USA is not responsible for failures, damage, injury, death, or losses caused by unauthorized modifications or improper repairs.

22. Third-Party Products and Services

Ace Redrives USA may refer to or sell products associated with third-party manufacturers, suppliers, carriers, payment processors, aviation authorities, forums, videos, or technical resources.

We do not control third-party products or services and are not responsible for their performance, safety, accuracy, availability, policies, delays, failures, or defects.

References to third-party names, products, engines, aircraft, or brands do not imply endorsement unless expressly stated.

23. Intellectual Property

All website content, including text, logos, graphics, photographs, videos, page layouts, product descriptions, downloads, documents, and other materials, is owned by Ace Redrives USA, Av8r Capital Group Corp, Ace Aviation, or the applicable rights holder.

You may not copy, reproduce, distribute, modify, display, publish, sell, or use website content for commercial purposes without written permission.

Trademarks, product names, company names, aircraft names, engine names, and logos appearing on the website may be the property of their respective owners.

24. User-Submitted Content

Do not submit confidential, proprietary, or sensitive information unless necessary for customer support.

25. Reviews, Comments, and Public Statements

Ace Redrives USA may allow customer reviews, testimonials, comments, or other user content.

We reserve the right to remove or decline to publish content that is false, misleading, abusive, defamatory, obscene, unlawful, spam, unrelated, or otherwise inappropriate.

Customer reviews and public comments reflect the opinions of the individual author and do not necessarily represent the views of Ace Redrives USA.

To the fullest extent permitted by law, any dispute arising out of or related to this website, these Terms, any product, any order, or any transaction with Ace Redrives USA shall be brought in the state or federal courts located in Michigan.

The customer agrees to personal jurisdiction and venue in those courts, unless otherwise required by applicable law.

Before filing any legal action, the customer agrees to first contact Ace Redrives USA in writing and attempt to resolve the dispute informally.

34. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, if permitted by law.

35. No Waiver

Failure by Ace Redrives USA to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

36. Assignment

Ace Redrives USA may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale, restructuring, business transfer, or other transaction.

Customers may not assign their rights or obligations without written permission from Ace Redrives USA.

37. Entire Agreement

These Terms of Service, together with the Legal Notice, Shipping Policy, Return Policy, Privacy Policy, product pages, invoices, written order terms, and any required signed agreements, form the entire agreement between the customer and Ace Redrives USA regarding website use and purchases.

If there is a conflict between these Terms and a signed written agreement specific to a product or order, the signed written agreement will control for that specific product or order.
